SPRINGDALE, Ark. – Feb. 5, 2026 – Tyson Foods, Inc. (NYSE: TSN) announced the results of its Annual Meeting of Shareholders held today.
Shareholders elected all 15 director nominees, each receiving strong shareholder support according to preliminary voting results. The Board now consists of 15 directors, 10 of whom are independent. Jeffrey K. Schomburger has been appointed as Lead Independent Director. Additionally, the Board formed a Technology Committee in fiscal year 2025 and Maria N. Martinez was appointed as Chair.
As noted in the company’s most recent proxy statement, the board members elected today included: Chairman John H. Tyson, Les R. Baledge, Mike Beebe, Sarah Bond, Maria Claudia Borras, David J. Bronczek, Donnie King, Maria N. Martinez, Cheryl S. Miller, Kate B. Quinn, Jeffrey K. Schomburger, Barbara A. Tyson, John R. Tyson, Olivia L. Tyson and Noel White.
In addition to electing directors, shareholders ratified the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the 2026 fiscal year. Shareholders also approved the amendment and restatement of the Tyson Foods, Inc. 2000 Stock Incentive Plan and the compensation of the Company’s named executive officers.
